Uprise iX – Terms and Conditions

1. Introduction

Welcome to the mobile applications ("App" or "Apps") provided by Uprise iX ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our Apps, including any content, features, or services offered. By downloading, accessing, or using our Apps, you ("User" or "you") agree to be bound by these Terms. If you do not agree, please do not use our Apps.

2. Eligibility

• You must be at least 18 years old to use our Apps. If you are under 18, you must have parental or guardian consent.
• By using our Apps, you confirm that you meet these eligibility requirements and have the legal capacity to agree to these Terms.

3. License to Use

• We grant you a limited, non-exclusive, non-transferable, revocable license to use our Apps for personal, non-commercial purposes, subject to these Terms.
• You may not:
  • Copy, modify, or distribute the Apps or their content without our written permission.
  • Reverse-engineer, decompile, or attempt to extract the source code.

  • Post or share content that is unlawful, harmful, defamatory, or infringes on others’ rights.
  • Engage in spamming, hacking, or other disruptive activities.
  • Use automated tools (e.g., bots, scrapers) to access or collect data from the Apps.
• We may remove content or restrict access if you violate these rules, at our sole discretion.

6. Privacy

• Your privacy is important to us. Our collection, use, and protection of your personal information are governed by our Privacy Policy.
• By using our Apps, you consent to our data practices as described in the Privacy Policy.

7. Payments and Subscriptions

• Some Apps may offer in-app purchases, subscriptions, or premium features. All payments are processed through the applicable app store (e.g., Apple App Store, Google Play).
• You are responsible for any fees or charges associated with your use of paid features.
• We do support refunds outside of the app store’s policies.
• Subscriptions may auto-renew unless canceled before the renewal date, as per app store settings.

8. Intellectual Property

• All content, designs, logos, and code in our Apps are owned by or licensed to Uprise iX and are protected by copyright, trademark, and other laws.
• You may not use our intellectual property without prior written consent, except as allowed under these Terms.
• If you submit content (e.g., feedback, posts), you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, and distribute it in connection with our Apps.

9. Third-Party Services

• Our Apps may integrate third-party services, websites, or content (e.g., social media APIs, analytics tools). These are governed by their own terms and privacy policies.
• We are not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimer of Warranties

• Our Apps are provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted use.
• We do not guarantee that our Apps will be error-free, secure, or compatible with your device.

11. Limitation of Liability

• To the fullest extent permitted by law, Uprise iX shall not be liable for any indirect, incidental, or consequential damages arising from your use of our Apps.
• Our total liability for any claim related to the Apps shall not exceed $100 USD or the amount you paid us in the last 12 months, whichever is greater.

12. Termination

• We may suspend or terminate your access to our Apps at any time for violations of these Terms or for other reasons, without prior notice.
• You may stop using our Apps at any time by deleting them from your device.
• Upon termination, your license to use the Apps ends, but Sections 6, 8, 10, 11, and 13 survive.

13. Governing Law and Dispute Resolution

• These Terms are governed by the laws of Michigan, USA without regard to conflict of law principles.
• Any disputes shall be resolved in the courts of Oakland County, unless otherwise agreed. You waive any objection to such jurisdiction.

14. Changes to Terms

• We may update these Terms from time to time.
• Continued use of our Apps after changes constitutes your acceptance of the revised Terms.
